Terms of Service

These Terms of Service ("Agreement") govern your use of the products and services offered by Aitist, Inc., including software, tools, data, documentation, and websites ("Services"). By using our Services, you agree to comply with these Terms of Service and all applicable laws and regulations. If you do not agree with these terms, you are prohibited from using our Services. Please refer to our privacy policy for information on how we collect and use personal information.

We, Aitist, reserve the right to review and amend these Terms of Service at our sole discretion. Any changes to this Agreement will be updated on this page and take effect immediately upon publication.

The last update to these Terms of Service was on June 26, 2023.

Eligibility Requirements

To use the Services, you must be of legal age to consent to these Terms and capable of entering into a legally binding agreement with Aitist. If you are accessing the Services on behalf of another individual or entity, you must have the authority to agree to these Terms on their behalf. You must provide accurate and complete information when registering for an account. Sharing your access credentials or account with individuals outside of your organization is prohibited, and you will be held accountable for any activities that occur using your credentials.

Limitations of Use

By using our Services, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

  1. Modify, copy, prepare derivative works of, decompile, or reverse engineer any part of the Services.

  2. Remove any copyright or proprietary notations from the Services.

  3. Transfer the materials to another person or "mirror" the materials on any other server.

  4. Knowingly or negligently use the Services in a way that abuses or disrupts our networks or Services.

  5. Use the Services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material.

  6. Use the Services in violation of any applicable laws or regulations.

  7. Use the Services in conjunction with sending unauthorized advertising or spam.

  8. Harvest, collect, or gather user data without the user's consent.

  9. Use the Services in a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

Use of Submitted Content

Ownership of Content

You may submit input to the Services ("Input") and receive results or generated responses ("Output"). Both Input and Output are considered "Content." You retain ownership of all Input, and Aitist assigns to you all its rights, title, and interest in and to the Output, subject to your compliance with these Terms and to the extent permitted by applicable law. Aitist may use Content as needed to provide and maintain the Services, comply with applicable laws, and enforce its policies. You are responsible for the Content you submit, ensuring it does not violate any laws or these Terms.

 

Non-Exclusivity of Output

The Output generated by the Services may not be unique and may be the same or similar to the Output generated for other users. Responses generated for other users are not considered your Content.

Improvement of Services

You agree that Aitist may use the Content you submit to develop and enhance the Services, including training, testing, and improving our machine learning models. If you do not want your Content to be used for this purpose, you may opt out by contacting support@aitist.ai with your organization ID. Please note that opting out may limit the ability of the Services to address your specific use case effectively.

Ownership of Improvements

Any improvements to the Services resulting from the use of your Content will be exclusively owned by Aitist. You will not have any ownership or other rights in such improvements, and Aitist will have no obligation to compensate you for the use of your Content in developing such improvements.

Copyright Complaints

If you believe that your intellectual property rights have been infringed by any Content on the Services, please notify Aitist via support@aitist.ai.

Intellectual Property

The materials contained in the Services are owned by or licensed to Aitist and are protected by applicable copyright and trademark laws. This Agreement grants you a license to use the materials, and this license shall automatically terminate if you violate any of these restrictions or the Terms of Service. Aitist reserves the right to terminate the license at any time.

Liability

The Services are provided on an "as is" basis. To the extent permitted by law, Aitist disclaims all warranties, expressed or implied, including but not limited to implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

In no event shall Aitist or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use the Services, even if Aitist or an authorized representative has been notified, orally or in writing, of the possibility of such damage.

Accuracy of Materials

The materials appearing on our Services are for general information purposes only and may not be comprehensive. Aitist does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on the Services or on any resources linked to the Services.

Links

Aitist has not reviewed all of the sites linked to its Services and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval, or control by Aitist of the site. Use of any such linked site is at your own risk, and we strongly advise you to conduct your own investigations regarding the suitability of those sites.

Right to Terminate

We may suspend or terminate your right to use our Services and terminate these Terms of Service immediately upon written notice for any breach of these Terms.

Severance

If any term of these Terms of Service is wholly or partially void or unenforceable, it shall be severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Delaware. You irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
